本稿は買収戦略と合併戦略の観点を統合したM&A戦略に焦点を当て、競争優位を構築する観点からM&A戦略の理論体系構築について議論する。M&Aは企業における最も複雑な戦略的意思決定の1つで、戦略投資の1つである。さらに、M&Aは事業の多角化を実現する手段の1つであり、両面市場の理論の観点から、売買双方企業に互恵的なプラットフォームを提供する。売り手企業と買い手企業は、プラットフォームを通じてキャパシティとケイパビリティの調達、蓄積と合理化を実現する。本稿では、アクションベースとリソースベースの競争優位を構築する観点から、M&A戦略の理論体系の構築について議論すると同時に、M&Aにより形成されるプラットフォームにおけるキャパシティとケイパビリティが産業構造内で移転する仕組みを解明し、M&A戦略の価値(収益性)評価について分析する。
